1. Agreement to Terms

Welcome to Wisertise (“we”, “our”, “us”). These Terms & Conditions (“Terms”) govern your access to and use of wisertise.com and related services (the “Site” and “Services”). By accessing or using the Site or Services, you agree to be bound by these Terms.

2. Eligibility

You must be at least 18 years old and capable of entering a legally binding agreement to use the Site or Services. By using the Site, you represent and warrant that you meet this eligibility criterion.

3. Services & Proposals

We provide marketing, advertising, analytics, and related services. Specific terms for any engagement are set out in a mutually executed Statement of Work (SOW), service agreement, or order form (“Agreement”). In the event of a conflict between these Terms and an executed Agreement, the executed Agreement shall prevail.

4. Fees & Payment

Fees for Services are specified in the executed Agreement or SOW. Unless otherwise stated, payment is due within 30 days of invoice. Late payments may incur interest at the lesser of 1.5% per month or the maximum lawful rate. The client is responsible for all taxes (except Wisertise’s income taxes).

5. Client Obligations

Client will provide timely access to accounts, platforms, data, creative assets, and approvals. Delays caused by the Client may extend timelines and increase fees. Client represents that it has the right to use any materials it provides and will not infringe third-party rights.

6. Intellectual Property

Work Product: Unless the Agreement states otherwise, Wisertise grants Client a perpetual, worldwide, non-exclusive license to use deliverables created specifically for Client, upon full payment.

Wisertise IP: Wisertise retains ownership of templates, methodologies, tools, and pre-existing materials used or adapted during the engagement. Client receives no rights to Wisertise’s proprietary systems except as explicitly granted in writing.

7. Confidentiality

Both parties will protect confidential information and will not disclose it except to employees or contractors who need access. Confidential information excludes public information, already known by the receiving party, independently developed, or required to be disclosed by law.

8. Warranties & Disclaimers

Wisertise warrants that services will be performed with reasonable skill and care. Except as provided herein, wisertise makes no warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose. We do not guarantee specific results (e.g., rankings or revenue), unless expressly stated in a signed Agreement.

9. Limitation of Liability

To the maximum extent permitted by law, wisertise’s total liability arising out of or related to these terms or any agreement shall not exceed the total fees paid by client to wisertise under the applicable agreement in the twelve (12) months preceding the event giving rise to liability. In no event will Wisertise be liable for indirect, special, incidental, or consequential damages.

10. Indemnification

Client will indemnify and hold Wisertise harmless from third-party claims arising out of Client materials, misuse of deliverables, or Client’s breach of representations. Wisertise will indemnify Client against claims that Wisertise deliverables infringe third-party IP, provided Client notifies Wisertise promptly and cooperates.

11. Termination

Either party may terminate an Agreement for material breach if the breach remains uncured 30 days after written notice. Upon termination, Client pays for services performed up to the termination date and returns Wisertise’s confidential materials.

12. Data, Tracking & Privacy

Client authorizes Wisertise to access ad platforms and analytics accounts for campaign delivery. Wisertise will process data per the Privacy Policy. The client is responsible for complying with applicable data protection laws for their business.

13. Governing Law & Dispute Resolution

These Terms and Agreements are governed by the laws of India, excluding conflict of laws. Parties will attempt to resolve disputes in good faith; unresolved disputes will be submitted to binding arbitration in India.

14. Changes to Terms

We may update these Terms; material changes will be posted on the Site with a revised effective date. Continued use after updates constitutes acceptance.
